Orange Corners: Senegal – Legal framework 2019

Through this intervention resources are made available to the Embassy of the Kingdom of the Netherlands office in Dakar to construct a legal entity for Orange Corners. Only if Orange Corners has a legal entity, the prospective board of Orange Corners in Senegal will be able to take legal actions (e.g. sign contracts with service providers etc.).

The legal advice will result in:

1. Advice about which legal form is best suited for the aim of the organisation.
2. Aid in the registration of Orange Corners in Senegal
3. Develop trademark registration for the logo in Senegal
4. Legal advice regarding the type of agreement to be entered into between Orange Corners Dakar (executed by a local service provider) and its partners; and provide contracts to establish the agreements.

The following activities will be taken to achieve the results mentioned above:
Analyze, consider and review the action plan for the establishment of the Orange Corners project in Senegal;

• Prepare and draft legal opinion regarding the most adequate legal vehicle to incorporate Orange Corners in Senegal and its legal implications;
• Draft the procedure for the incorporation and registration of the legal entity;
• Elaborate regulation clauses regarding the use of Orange Corners logo;
• Registration of the trademark Orange Corners in Senegal;
• Elaborate legal advice regarding the type of agreement to be entered into between Orange Corners Dakar (executed by a local service provider) and its partners;
• Elaborate legal advice regarding legal statutory;
• Prepare all (statutory) document necessary for registration, including if necessary, agreement between the different partners and the service providers.
